Have counsel confirm these plus consumer-protection wording for every country/state VantraOps sells into (notably the Philippines, given Xendit billing, and any EU/UK customers, given GDPR).

1. Introduction and acceptance

These Terms and Conditions (“Terms”) govern access to and use of VantraOps (the “Service”), a Kubernetes fleet monitoring and management platform operated by [Company Legal Name], a company registered at [Registered Address] (“VantraOps,” “we,” “us,” or “our”).

By creating an account, installing the VantraOps in-cluster agent, or otherwise using the Service, you (“Customer,” “you”) agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

If you do not agree to these Terms, do not use the Service.

2. The Service

VantraOps is a multi-tenant SaaS portal that gives visibility into customer-owned Kubernetes clusters (EKS, AKS, and other conformant clusters) without requiring the Customer to already run Prometheus or Grafana. The Service includes:

  • Cluster Overview — nodes, pods, workloads, and real-time health;
  • Cost visibility — namespace/workload-level spend estimates;
  • Utilization and rightsizing — requests vs. actual usage and recommendations;
  • Architecture health checks — plain-language, recommend-only findings (e.g., missing PodDisruptionBudgets, overly broad IAM/Workload Identity bindings, single-cluster multi-tenancy risk);
  • Alerting — threshold-based rules delivered by email, Slack, or webhook;
  • AI Assistant — an optional, natural-language help feature, available on a metered platform-funded key or on a Customer-supplied (“Bring-Your-Own-Key,” “BYOK”) API key.

The Service operates on a push model: the in-cluster agent (Section 6) sends metrics outward over HTTPS. VantraOps never requires inbound network access into a Customer’s cluster, and the Service does not perform automatic or autonomous remediation — all recommendations require the Customer to take action.

3. Accounts, tenants, and roles

  • Each Customer is provisioned as an isolated Tenant; one Tenant’s clusters, dashboards, and data are never visible to another Tenant.
  • Accounts are created via Google or GitHub sign-in (or, for legacy accounts, username/password). The first user to sign up for a new Tenant becomes its Admin, with authority to register/remove clusters, manage billing, configure tenant settings, and invite teammates.
  • Admins may invite teammates as Members, who receive full dashboard and cluster-visibility access but cannot change tenant settings, manage billing, invite other users, or create/delete clusters.
  • You are responsible for all activity under your account and for maintaining the confidentiality of your credentials, session tokens, and any API/enrollment tokens issued to you. Notify us immediately at [security@vantra.io] if you suspect unauthorized access.
  • You must provide accurate registration information and keep it current, including billing contact and payment details.

4. Plans, pricing, and the Free plan

VantraOps currently offers three subscription tiers, billed monthly:

Current pricing, node limits, and included AI Assistant usage are displayed in the portal and may be updated from time to time; the version shown at the time of purchase or renewal governs that billing cycle. We will provide reasonable advance notice (at least 30 days) before a price increase takes effect on your account.

Free plan. The Free plan is offered at our discretion and may be changed, limited, or discontinued at any time with notice. Free-plan node usage is a hard cap — the Service does not permit exceeding it; you must upgrade to add capacity. Free-plan Tenants receive no platform-funded AI Assistant messages and must supply their own API key (BYOK) to use that feature. We may modify Free-plan limits, or require verification (e.g., a valid payment method) to prevent abuse.

Overage. On Pro and Premium, total node count across your Tenant’s clusters may exceed the plan’s included limit; additional nodes are billed per-node, per-month at the rate shown in the portal at the time of overage, in addition to your subscription fee. Overage on Stripe-billed accounts is metered and reported in near real time; overage on Xendit-billed accounts is rolled into the following billing cycle’s invoice, computed from the same usage records.

5. Payment, billing, and recurring charges

  • Payment providers. Paid plans are processed through our payment processors, Stripe (for card payments in USD and other supported currencies) or Xendit (for Philippine-peso billing), depending on your account’s configured provider. VantraOps does not select which provider you bill through after your subscription is created — see Section 8 on how each provider is chosen and fixed for your account’s lifetime.
  • Recurring billing. Paid subscriptions automatically renew each billing period (monthly) until cancelled. By subscribing, you authorize us (via our payment processor) to charge your saved payment method on each renewal date for the plan fee plus any node overage accrued in the prior period.
  • Cancellation. You may cancel at any time from the portal. Cancelling stops future renewals but does not refund the current billing period; your plan remains active (subject to Section 9’s downgrade behavior) through the end of the period you already paid for.
  • Failed or past-due payments. If a renewal charge fails, your subscription is marked past due. We may retry the charge, notify you to update your payment method, and — if payment is not resolved within a reasonable cure period shown in the portal — downgrade your Tenant to the Free plan or suspend paid features until payment succeeds.
  • Taxes. Fees are exclusive of applicable taxes, which we will collect where required by law.
  • Refunds. Except where required by law or expressly stated at the time of purchase, fees are non-refundable, including for partial billing periods, downgrades, or unused overage capacity.

6. Cluster integration and management

  • To connect a cluster, you register it from the portal, which issues a single-use enrollment token (short-lived, hashed at rest, never reusable after redemption) and a ready-to-run helm install command.
  • You install the VantraOps agent (via the provided Helm chart) into your own cluster. The agent authenticates using the enrollment token, then receives a scoped, long-lived credential that it stores as a Kubernetes Secret it owns.
  • The agent reads only metrics/telemetry data (node, pod, and workload resource usage, health, and configuration metadata relevant to the architecture-health checks) and pushes it outward over HTTPS. It does not require, and VantraOps does not request, cluster-admin privileges or inbound access to your cluster.
  • You are solely responsible for the security of your own Kubernetes clusters, cloud accounts, and infrastructure, for granting the agent only the permissions it documents needing, and for removing/deleting a cluster from the portal (and uninstalling the agent) when you no longer want it monitored.
  • You may add, view, or delete clusters, and re-issue enrollment tokens (e.g., if one expires before use), subject to your plan’s cluster limit and your role (cluster creation/deletion is Admin-only).

7. Managing the portal

Admins are responsible for managing their Tenant’s portal configuration, including: inviting and removing Members, configuring alert destinations, setting AI Assistant credentials (platform-funded or BYOK), and managing billing and plan selection. VantraOps is not responsible for actions taken by Members or Admins your organization has authorized to access the portal.

8. Credit card and payment information

VantraOps does not collect, process, or store your full credit card number, CVV, or other sensitive cardholder data on its own servers. Card and bank details are entered directly with, and held by, our PCI-DSS compliant payment processors (Stripe and/or Xendit). We retain only non-sensitive, display-only metadata returned by those processors (e.g., card brand and last four digits) so the portal can show you which payment method is on file. See our Privacy Policy for details on what payment-related data we do retain.

9. Suspension, downgrade, and termination

We may suspend or limit access to the Service if: (a) a payment is past due beyond the cure period, (b) we reasonably believe your use violates these Terms or applicable law, (c) your use poses a security risk to the Service or other Tenants, or (d) required by a payment processor or law-enforcement request. You may terminate your account at any time from the portal; upon termination, we will handle your data as described in the Privacy Policy’s retention section.

10. Customer obligations and acceptable use

You agree that you will:

  • provide accurate account, billing, and cluster information, and keep it up to date;
  • use the Service only for lawful purposes and only to monitor infrastructure you own or are authorized to monitor;
  • not attempt to access another Tenant’s data, circumvent tenant isolation, or probe, scan, or test the Service’s security without our prior written authorization;
  • not reverse-engineer, resell, sublicense, or use the Service to build a competing product, except as permitted by law;
  • not upload or transmit malicious code, or use the Service to disrupt or overburden our infrastructure;
  • not exceed your plan’s cluster/node limits without upgrading or agreeing to overage billing; and
  • comply with all applicable export-control, data-protection, and cybersecurity laws applicable to your use of the Service.

We reserve the right to suspend accounts that violate this section.

11. Security

We maintain administrative, technical, and physical safeguards designed to protect the Service and Tenant data, including:

  • Authentication: JWT-based session tokens with configurable short-lived access tokens and longer-lived, revocable refresh tokens; OAuth sign-in via Google/GitHub; optional multi-factor authentication (including WebAuthn/passkey support).
  • Tenant isolation: every Tenant’s clusters, metrics, and dashboards are logically isolated and inaccessible to other Tenants.
  • Agent credentials: enrollment tokens are single-use, short-lived, and stored only as irreversible hashes; agent credentials are scoped to a specific cluster and can be rotated/revoked from the portal.
  • Encryption: data in transit is encrypted (HTTPS/TLS); sensitive configuration such as BYOK AI credentials is encrypted at rest.
  • No inbound access: the agent architecture never requires opening inbound network paths into your cluster.

No method of transmission or storage is 100% secure, and we cannot guarantee absolute security. Report suspected vulnerabilities or incidents to [security@vantra.io].

12. Data ownership and use

As between you and VantraOps, you retain all rights to the data your clusters generate and that the agent transmits (“Customer Data”). You grant VantraOps a limited license to process Customer Data solely to provide, maintain, secure, and improve the Service, and as described in the Privacy Policy. We do not sell Customer Data.

13. Disclaimers

THE SERVICE, INCLUDING ALL RECOMMENDATIONS (COST, RIGHTSIZING, OR ARCHITECTURE-HEALTH), IS PROVIDED “AS IS” AND IS ADVISORY ONLY. VANTRAOPS DOES NOT PERFORM AUTOMATIC REMEDIATION AND IS NOT RESPONSIBLE FOR ACTIONS YOU TAKE OR DO NOT TAKE BASED ON THE SERVICE’S OUTPUT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VANTRAOPS’ AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, AND WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA. 15. Changes to these Terms

We may update these Terms from time to time. For material changes, we will provide notice (e.g., email or in-portal notice) at least 30 days before the change takes effect. Continued use of the Service after changes take effect constitutes acceptance.

16. Governing law and disputes
